Terms of Service

1. Acceptance

These Terms of Service (“Terms”) form a binding agreement between you (“Customer” or “you”) and VyaptIX Technologies LLP (“VyaptIX”, “we”) for use of Growth OS (the “Service”), available at https://setu.vyaptix.ai. By signing in or using the Service you agree to these Terms and to our Privacy Policy.

2. Eligibility & account

  • You must be at least 18 years old and authorised to bind your business.
  • You agree to provide accurate registration information and keep it updated.
  • You are responsible for safeguarding your credentials and for all activity under your account.

3. The Service

Growth OS is a multi-channel messaging and CRM platform. We provide the underlying software, hosting, and integrations (including with Meta's WhatsApp Business Platform). Specific channel quotas, message limits, and feature availability may depend on your subscription plan.

4. Acceptable use

You will not use the Service to:

  • Send unsolicited, deceptive, or unlawful messages.
  • Send messages to recipients who have not opted in or who have opted out.
  • Violate Meta's WhatsApp Business Messaging Policy or Commerce Policy.
  • Promote firearms, illegal substances, adult content, or other prohibited categories listed in Meta's policies.
  • Reverse engineer, scrape, resell, or otherwise misuse the Service.
  • Send malware, phishing links, or content infringing third-party rights.

We may suspend or terminate accounts that violate these rules, and we will cooperate with Meta enforcement actions where applicable.

5. Customer data & consent

  • You retain all rights in the contact lists, message content, and other data you upload (“Customer Data”).
  • You grant us a limited licence to host, process, and transmit Customer Data solely to operate the Service.
  • You represent that you have obtained valid opt-in consent from every recipient before messaging them through the Service, and will honour opt-out / STOP requests promptly.
  • You are responsible for compliance with applicable law, including India's Digital Personal Data Protection Act, 2023.

6. Fees & billing

  • Subscription fees are billed in advance per the plan you select.
  • Pass-through messaging charges (e.g. Meta's conversation-based pricing) are billed separately at cost or with a transparent margin disclosed in your order.
  • Fees are exclusive of GST and other applicable taxes.
  • Late payments accrue interest at 1.5% per month, or the maximum permitted by law.

7. Term & termination

  • These Terms run for the duration of your subscription and any renewal terms.
  • Either party may terminate for material breach uncured for 30 days after written notice.
  • We may suspend access immediately to address security, abuse, or non-payment issues.
  • On termination, you may export Customer Data for 30 days, after which we will delete it (subject to backup retention windows in the Privacy Policy).

8. Confidentiality

Each party agrees to protect the other's confidential information with at least the same care it uses for its own, and to use it only to fulfil these Terms.

9. Warranties & disclaimers

We provide the Service on a commercially reasonable, “as-is” basis. To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that messages will always be delivered (delivery depends on third parties such as Meta and telecom carriers).

10. Limitation of liability

Except for breaches of confidentiality, indemnity obligations, or your payment obligations, neither party will be liable for indirect, incidental, consequential, special, or punitive damages. Our total aggregate liability under these Terms will not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You will defend and indemnify VyaptIX against third-party claims arising out of (a) your Customer Data, (b) your breach of these Terms or applicable law, or (c) your violation of Meta's policies.

12. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. The courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising out of these Terms.

13. Changes

We may update these Terms from time to time. Material changes take effect 14 days after we notify you by email or in-product banner. Continued use of the Service constitutes acceptance.
